Capitolis has completed its $200m acquisition of eSecLending to add a securities lending business to the financial resource optimization solutions already provided by the financial technology company.
Portfolio optimization cleans up bank balance sheets by identifying and offsetting redundant positions in derivative portfolios provided by clients in regular compression cycles. Capitolis also has a capital marketplace connecting major global banks and originators with institutional investors and alternative capital providers.
On 2 November 2026 Capitolis said on X that it had completed the eSecLending deal which was announced on 29 September this year. Capitolis is buying eSecLending from private equity firm Parthenon Capital and the company’s management team with the private equity firm investing in Capitolis. The transaction was Capitolis’ fourth acquisition in five years.
Gil Mandelzis, chief executive and founder of Capitolis, told Markets Media in an email that the fintech’s growth strategy has always included a mix of building solutions itself and making targeted acquisitions of established businesses that fit naturally with the company and client needs. He described eSecLending as exactly that kind of business.
“If you think about what financial institutions want, they are looking to unlock greater efficiency, make the most of their resources, and find new opportunities.” Mandelzis added. “By bringing the two businesses together, we can offer a really differentiated set of capabilities to help them do all of that.”
He has known the eSecLending team for years and Capitols has already been partnering with the securities lending firm to bring new solutions to the market. The two firms started talking about an acquisition a year ago and Mandelzis said it became clear that the businesses and capabilities fit together extremely well, so bringing them together felt like a natural next step.
Mandelzis continued that eSecLending brings an established network of institutional asset owners that is highly complementary to Capitolis’ existing bank client base. He added: “By bringing the two businesses together, we have an opportunity to deepen existing relationships, build new ones, and offer a broader set of capabilities across our combined network.”
eSecLending has “market-leading” infrastructure in securities lending, according to Mandelzis, who said that where it makes sense, Capitolis will continue to invest in making the platform even stronger and more automated. Mandelzis added: “Together, we have the technology, expertise, and scale to accelerate innovation and continue solving important challenges for our clients.”
Serene Murphy, global head of corporate development at Tradeweb, said in a statement that securities lending represents the next frontier in electronification, and Capitolis’ acquisition will be an important step in that evolution. She added: “By combining eSecLending’s network of institutional asset owners with Capitolis’ financial resource optimization platform, this deal creates real opportunities to bring more automation and efficiency to a market that has historically relied on manual processes.”
Tradeweb Markets, the multi-asset electronic platform, was one of the new investors in a $220m financing for Capitolis which completed in October this year.
The financing comprised a $120m Series E equity financing round at a $1.9bn valuation, as well as debt, which helped support the acquisition.
The equity financing was led by Citi, an existing investor, with participation from other new investors, Bank of America and Nomura, as well as existing investors. Debt financing is provided by First Citizens Innovation Banking (formerly Silicon Valley Bank), Hercules Capital, and Pinegrove Venture Partners.
The funds will also be used to fund growth where Capitolis sees significant opportunities in both its capital marketplace and portfolio optimization businesses.
“Our strategy is centered on expanding our network and continuing to innovate, developing new solutions based on the challenges and needs we hear directly from our clients,” added Mandelzis.
